This invoicing cooperation agreement (the "Agreements") has been entered into between
EasyFreelance AB, ("EasyFreelance")
and
Legal entity wishing to cooperate with EasyFreelance. ("Contractor")
Contractor and EasyFreelance agree that they will cooperate in accordance with the terms and conditions described in this Agreement.
EasyFreelance and Contractor are jointly referred to as the "Parties".
1.1. The reason for the Agreement is that EasyFreelance offers to invoice, on behalf of the Customer, for the assignments and work that the Customer has performed for its customer(s).
1.2. The Parties agree that EasyFreelance does not broker assignments, and otherwise has no influence on the assignments the Customer has undertaken to perform. EasyFreelance shall only provide invoicing to the Customer's Client(s) and shall ensure that the invoiced amounts can be paid as salary to the Customer.
1.3. This Agreement shall provide the Customer with the ability to invoice its customers and have the remuneration paid as wages, without the Customer having to create a separate entity to receive payment from its contractors.
1.4. This Agreement means that EasyFreelance takes the administrative role as a contract broker for the work that the Customer wishes to perform with the Customer, after which EasyFreelance will issue an invoice and pay the Customer, as set out in this Agreement.
1.5. This Agreement assumes that contractors for whom the Customer has already performed services/assignments, or has agreed to perform their services/assignments, accept EasyFreelance as administrative contract broker, including that the Customer agrees to pay invoices issued by EasyFreelance.
1.6. This agreement provides access to a payment service where EasyFreelance provides accounting services, including but not limited to creating, sending, crediting, correcting and managing invoices on behalf of the Customer.
1.7. This agreement further provides access to a paid service through which the customer's customers can manage invoices, including, but not limited to, creating, sending, crediting, correcting and managing invoices on behalf of the customer.
2.1. This Agreement is valid from the signing of the Agreement and as long as the Customer continues to be active with EasyFreelance, unless the Agreement is terminated in accordance with section 2.3 or 2.4.
2.2. "Active" means that the Customer has performed one or more services/assignments for one or more customers within the last six months and at the same time used EasyFreelance's services in accordance with this Agreement.
2.3. If the Customer does not use the Services under this Agreement for a period of six months, the Customer will be considered "Inactive". If the Customer is deemed to be "Inactive", this Agreement will terminate automatically without any action required by either party.
2.4. This Agreement may be terminated in writing by either party with a mutual notice period of two weeks.
2.5. If the Customer wishes to resume the cooperation after this Agreement has been terminated or canceled, a new agreement shall be entered into between the parties.
3.1. The Customer is free to choose whether this Agreement is to be used for an assignment that has already been performed for the Customer's client(s).
3.2 The fact that an agreement (or agreements) has previously been entered into with EasyFreelance regarding previously performed services for the Customer/Client does not mean that the Customer is obliged to enter into a new agreement with EasyFreelance.
3.3. The parties agree that EasyFreelance has no instructional authority over the Customer. The conclusion of this Agreement presupposes that assignments to be invoiced under this Agreement have been performed in accordance with an additional agreement between the Customer and the Customer (an agreement to which EasyFreelance is not a party). EasyFreelance will then invoice in accordance with the information EasyFreelance receives from the Customer and/or the Customer.
4.1. EasyFreelance undertakes under this Agreement to administer and perform invoicing to the Customer's Client(s) for the services already performed by the Customer to its Client(s).
4.2. In addition, EasyFreelance shall calculate and pay the necessary expenses and deductions, such as employer's tax, advance deduction (for tax), VAT, etc.
4.3. EasyFreelance's remuneration for the services rendered is set out in the current prices listed on the EasyFreelance website (https://www.easyfreelance.no). The remuneration is deducted from the amount invoiced and paid (by the Customer) before payment to the Customer.
5.1. If the relevant Customer is a partner of EasyFreelance, EasyFreelance will invoice the Customer in accordance with the information reported by the Customer to EasyFreelance and/or the EasyFreelance system.
5.2. If the relevant Customer is not a partner of EasyFreelance, EasyFreelance will invoice the Customer in accordance with the information reported by the Customer to EasyFreelance and/or the EasyFreelance system.
6.1. When the amount in accordance with the issued invoice has been received by EasyFreelance, the amount shall be paid as salary to the Customer in accordance with this clause six. The salary is paid within 45 (forty-five) working days after the invoice amount from the Customer has been received by EasyFreelance. Wages are paid to the bank account provided by the Customer. The bank account must be a Norwegian bank account, otherwise the Customer shall bear all costs associated with payment abroad.
6.2. Should EasyFreelance's mandatory and statutory expenses and deductions change, the calculation and net payment of wages will be adjusted accordingly.
6.3. In the event of an error in payment, the parties agree that EasyFreelance is granted the right to make the necessary adjustments in the event of a new payment. Alternatively, EasyFreelance may demand reimbursement by direct invoicing to the Customer. This applies even if it turns out that the deduction of statutory expenses and deductions has been too low.
6.4. The amount paid by the contracting authority for the assignment performed forms the basis for the calculation of the salary. In addition to the salary, the amount covers costs for taxes, fees and insurance as well as EasyFreelance's administration fee. Employers can use EasyFreelance's calculator at www.easyfreelance.se at any time to calculate their salary. In the event of any discrepancies between the calculator's calculation and the actual calculation made in accordance with EasyFreelance's rules and guidelines for salary calculation,
, the latter takes precedence.
7.1 The working relationship between the parties under this Agreement, including EasyFreelance's payments to the Customer, presupposes that the service(s)/assignment(s) performed by the Customer has/have been provided in accordance with the requirements and conditions set out in the Customer's agreement with the Customer (an agreement to which EasyFreelance is not a party).
7.2. The parties agree that there is no employment or assignment relationship between the Customer and EasyFreelance.
7.3. The Customer is subject to certain terms and conditions that are covered by EasyFreelance's insurance policies in force at all times. Which insurances apply, if any, will be indicated by asking EasyFreelance. In some cases, the Customer may also choose which insurances he or she will be covered by. As a general rule, the Customer must pre-register their assignments in the EasyFreelance app in order to be covered by EasyFreelance's insurances during the assignment period. If the assignment is carried out for one of EasyFreelance's partners, the assignment will generally be covered by EasyFreelance's insurance at all times, even if the assignment is not pre-registered in the EasyFreelance app.
7.4. The principal is responsible for ensuring that his tax card always indicates the correct tax rate in the form of a table deduction or percentage. Any changes to the tax card can be made, for example, via https://www.skatteetaten.no/person/
7.5. Invoicing and payment under this agreement presupposes that the service(s) provided by the Customer to the Customer have already been performed by the Customer, including that the Customer has not been prevented from actually performing the service/assignment (for whatever reason).
7.6. By entering into this Agreement, the parties agree that EasyFreelance may share the Customer's information, including, but not limited to, personal data and billing information, with the Customer's existing and potential customers.
7.7. Aggregated anonymized data may be used by EasyFreelance for marketing purposes.
8.1. EasyFreelance is not obliged to pay wages or other compensation unless an invoice sent by EasyFreelance to the Customer is paid by the Customer. EasyFreelance cannot otherwise be held liable for any losses that the Customer may suffer as a result of non-payment by the Customer, including in the event of complaints, disputed invoice claims or similar.
8.2. The parties agree that this shall be regarded as a relationship between the Customer and the Customer if, for example, a claim for price reduction, compensation or other claims related to services/assignments performed by the Customer is made by the Customer or other third party against EasyFreelance. If this occurs, the Customer shall reimburse EasyFreelance for any losses that EasyFreelance may suffer as a result of any claims from the Customer and other third parties, to the extent that the claim relates to the Customer's claim for compensation, payment or other assignments.
9.1. By signing this Agreement, the Customer confirms that EasyFreelance's privacy policy has been read and understood. EasyFreelance, for the record, notes that it may change its privacy policy at any time. EasyFreelance will in this case inform the Customer of any changes.
9.2. The Customer acknowledges that EasyFreelance will process data relating to the Customer for a number of purposes, and that this may include sensitive personal data relating to the Customer. EasyFreelance will only process this data where it has a lawful basis to do so. Information about the type of data used, the purpose of the data processing and the legal basis for the processing can be requested if necessary.
10.1. The parties agree that their rights and obligations under this agreement shall be governed fully in accordance with Norwegian law. The parties further agree that the agreed guardianship shall be Oslo District Court
